Extraordinary General Meeting

HKCS Extraordinary General Meeting on 17 December 2025

Dear HKCS members,

I am pleased to invite you to attend the Extraordinary General Meeting (the “EGM”) of Hong Kong Computer Society (“HKCS”), which has been scheduled as follows:

Date:        17 December 2025 (Wednesday)
Time:        5:00 p.m. (registration will start from 4:30 p.m.)
Venue:     18/F., Cityplaza One, 1111 King’s Road, Taikoo Shing

The business to be dealt with at the EGM is set out in the attached Notice of Extraordinary General Meeting. The purposes are as follows:

  1. HKCS was established in 1970 under the Societies Ordinance (Cap. 151). In 1997, to provide limited liability protection for Council members and members, HKCS was registered as a company limited by guarantee under the Companies Registry. Recently, the Licensing Office of the Hong Kong Police Force advised that a registered company cannot concurrently operate under the Societies Ordinance using the same name. Consequently, after seeking advice from our Honorary Legal Adviser, Robinsons, Lawyers, the Council discussed and agreed to retain both legal entities, while renaming the entity registered under the Societies Ordinance for clear distinction. It is proposed that the new name for registration under the Societies Ordinance will be “香港電腦學會會員事務部,” and in English, “Hong Kong Computer Society Member Services Department.” This change of name will not affect our members, the HKCS’s logo or promotional materials, as all operational matters fall under the entity registered with the Companies Registry.
  2. HKCS aims to faster an early interest in IT among young students, beginning at the junior secondary level. To support this objective, the Council proposes amending the HKCS constitution to lower the minimum age requirement for student membership from 16 to 11.

As a Distinguished Fellow, Fellow or Full Member, you are kindly requested to attend and cast your vote at the EGM. However, if you are unable to be there in person, you are encouraged to appoint a proxy to vote on your behalf, by returning the enclosed proxy form to HKCS office not later than 15 December 2025 5:00 p.m., via email ([email protected]), fax (2834 3003) or by post.

IMPORTANT NOTES:

Members’ Verification
In order to verify members’ identity and maintain the integrity and fairness of the election, members are required to show HKCS membership card / HKID when they attend in person at the EGM.

Remember to Reserve Your Seat at the EGM
If you wish to attend the EGM in person, please complete the online Reservation Form here by 5:00 p.m. on 15 December 2025.

Arrangement in Case of Typhoon and Black Rainstorm Warning in Force
The EGM would be postponed in case of Typhoon Signal No. 8 (or higher) or Black Rainstorm Signal is in force at noon on 17 December 2025.     An email would be sent to members as soon as possible advising the rescheduled date, time and venue of the EGM. Announcement of EGM arrangement would also be published on the HKCS website (www.hkcs.org.hk).
